| Daniel J. MacTough focuses his practice in securities and general corporate law and in such, he has represented privately owned and publicly traded companies in all stages of development, including start-up ventures, mid-market public companies and large multinational corporations. He has extensive transactional experience representing both issuers and underwriters in public and private offerings. Mr. MacTough also has extensive experience in mergers and acquisitions and has represented investment banks and financial institutions in connection with thrift conversions, bank holding company reorganizations and other transactions. He is admitted to practice in New York and the District of Columbia. |

| Mr. MacTough is a graduate of the Georgetown University Law Center (J.D. 1999). Prior to obtaining his JD, Mr. MacTough received a Bachelor of Science from the University of Miami (B.S. 1993) with a major in Psychobiology. |
